B2B terms of use and service

Effective: 8 October 2026 · The German version is the legally controlling version.

1. Provider and B2B scope

EPRORA Compliance UG (haftungsbeschränkt), Gildehauser Weg 114, 48529 Nordhorn, provides the EPRORA platform exclusively to businesses acting in the course of their commercial or professional activities. Consumer contracts are not offered through the platform.

2. Contract formation

The contract is formed when EPRORA accepts the business customer’s order or when a checkout explicitly marked as binding is completed and confirmed. The selected plan, order summary, any separate authorised-representative mandate and these terms form the contractual documents.

3. Services

The scope is determined by the selected plan and enabled modules. Services may include compliance checks, product and packaging data management, EPR and registration workflows, authorised-representative services where separately mandated, marketplace integrations, reporting, regulatory monitoring, document management and optional Digital Product Passport, QR or country modules.

4. Authorised-representative services and registers

Where EPRORA acts as an authorised representative, the separate mandate also applies. Actions that law, a register or a system requires the manufacturer or customer to confirm personally remain with the customer. Processing times, decisions and fees of authorities, registers, system operators or other third parties are outside EPRORA’s direct control.

5. Customer cooperation

The customer must provide accurate, complete and current company, product, packaging, sales, marketplace and registration data. Changes that may affect obligations, volumes or registrations must be updated without undue delay. The customer must be entitled to transmit and process the data supplied and to connect authorised accounts.

6. User accounts and security

Access credentials must be kept confidential and made available only to authorised persons. The customer manages users and roles within its organisation and informs EPRORA without undue delay of suspected misuse or compromised credentials. EPRORA may require appropriate security, multi-factor or re-authentication measures.

7. Marketplace and third-party integrations

Integrations are activated only after customer authorisation. Scope, approval and availability may depend on APIs, app reviews, permissions and technical changes of the relevant provider. EPRORA does not control marketplace enforcement, suspensions or approval decisions.

8. Automation, regulatory intelligence and results

EPRORA may automatically classify data, apply rules, identify possible obligations, calculate deadlines and recommend actions. Results are based on the available rule set and on data provided by the customer or imported with authorisation. Special cases may be flagged for manual review. Automated information does not replace individual legal or tax advice.

9. Prices, third-party costs, taxes and payment

Prices, billing intervals and currencies shown before the binding order are decisive. Third-party costs such as scheme, register, verification, identification, signature, shipping or provider fees are included only where expressly stated. Taxes and duties are calculated according to the applicable treatment. Invoices are due as shown in checkout, plan or invoice.

The expressly requested initial setup of a new German packaging mandate costs CHF 29 once, plus any applicable VAT. This covers customer file setup, agreement preparation and guided LUCID appointment steps. Ongoing representation is included in the selected annual subscription. The setup fee is not charged again on regular annual renewal. Existing agreements and their agreed prices remain unchanged; no retrospective setup fee is charged. Digital Product Passports and other optional modules are charged only when separately selected, at the prices shown before the order. Payment alone does not activate the mandate; the required agreement and effective LUCID appointment must also be completed.

10. Term, renewal and termination

Contract term, automatic renewal and ordinary cancellation period are those shown at contract formation in the plan or individual order. Termination generally takes effect at the end of the current contract period. Statutory rights to extraordinary termination for good cause remain unaffected.

11. No consumer withdrawal rights

Because the platform offers business contracts only, statutory consumer withdrawal rights do not apply. EPRORA may provide voluntary cancellation or goodwill arrangements in an individual offer.

12. Data, documents and exports

The customer retains rights in the data it supplies. For the contract term, EPRORA receives the rights required to store, structure, analyse, translate and report the data and to use it for commissioned compliance workflows. Customers should export relevant reports and evidence where needed for their own documentation.

13. Software and content rights

Rights in EPRORA software, interfaces, data models, workflows, templates, brands and documentation remain with EPRORA or the respective licensors. During the contract term, the customer receives a non-exclusive, non-transferable right to use the platform for its own business compliance purposes. Reverse engineering, circumvention of access restrictions and abusive automated access are prohibited to the extent permitted by mandatory law.

14. Availability, maintenance and force majeure

EPRORA aims for commercially reasonable technical availability. Maintenance, security updates, necessary migrations, force majeure and outages of internet, cloud, authority, register, marketplace or other third-party systems may temporarily restrict functions. A specific minimum availability applies only where expressly agreed in an SLA.

15. Software defects

The customer should report reproducible errors with sufficient information. EPRORA will address material defects within a reasonable period according to priority. Impairments caused solely by inaccurate customer data, unsupported third-party changes or missing customer permissions do not constitute a defect in the EPRORA platform.

16. Liability

EPRORA is liable without limitation for intent and gross negligence, injury to life, body or health, guarantees and mandatory statutory liability. For slight negligence in breach of an essential contractual obligation, liability is limited to the foreseeable damage typical for the contract. Otherwise liability for slight negligence is excluded to the extent permitted by law.

17. Customer content and indemnity

The customer is responsible for the factual accuracy and legality of the data and content it supplies. If the customer culpably infringes third-party rights or legal obligations through supplied content, it indemnifies EPRORA against justified third-party claims to the extent permitted by law.

18. Confidentiality and data protection

Both parties treat non-public business information of the other party as confidential. Personal data is processed in accordance with the privacy notice and, where required, a separate data processing agreement. Mandatory disclosure obligations remain unaffected.

19. Suspension and security measures

EPRORA may temporarily restrict access where required to protect the platform, customers or third parties, prevent misuse, comply with mandatory law or address material payment default. The customer’s legitimate interests are taken into account and advance notice is given where reasonably possible.

20. Changes to services and terms

Technical, legal or regulatory developments may require changes to individual functions. Material changes to ongoing contractual terms will be communicated with reasonable notice and become effective only within the applicable legal framework. Individually agreed commitments take precedence.

21. Governing law and jurisdiction

German law applies, excluding conflict-of-law rules and the UN Convention on Contracts for the International Sale of Goods, where legally permissible. For merchants, public-law entities or public-law special funds, the provider’s registered office is the place of jurisdiction to the extent permitted by law.

22. Priority, contract language and final provisions

Individual orders and a separate authorised-representative mandate take precedence over these general terms where they expressly differ. The German version is legally controlling; translations support international usability. If an individual provision is invalid, the remaining provisions remain unaffected and the statutory rule applies in its place.

Small sellers and independent shops

Start with the products and packaging actually shipped. An Etsy shop, eBay business or small independent store can prepare the same core records without an enterprise IT project. Use the self-check to identify the relevant next step, not to assume that every service is required.

Manufacturers and exporters

Manufacturers can connect product specifications, supplier evidence, batches, serial numbers and QR identifiers to a Digital Product Passport workflow. DPP scope and mandatory dates depend on the product category; voluntary preparation is not a claim that every product already needs a passport.
